THE OPPORTUNITY


Weintraub Tobin’s Sacramento office is seeking a full-time Corporate Associate with 1-4 years of experience in corporate and business transactions, including mergers and acquisitions, purchases and sales, capital markets, financing arrangements, and complex commercial agreements. Candidates should have exceptional research, writing, and analytical skills, and a strong academic record.


Weintraub Tobin’s Corporate practice group provides comprehensive legal services for a broad range of companies and is committed to partnering with clients through each stage of their growth process – from formation to raising capital, to major liquidity events. The Corporate practice group provides representation on a broad range of business acquisitions, sales, and reorganizations, representing both buyers and sellers. When specialized legal assistance is required, Weintraub Tobin provides comprehensive representation from the Firm’s various practice groups, including real estate and tax planning.


Associates at Weintraub have the opportunity to grow their skills and practices by working on a wide range of corporate matters for companies of all sizes with varied needs. Our associates acquire deep industry experience by working closely with shareholders and senior attorneys to provide services for long-term clients in the manufacturing, real estate, agribusiness, banking, renewable energy, and technology sectors.


RESPONSIBILITIES

  • Assist in the structuring, negotiation, and execution of a wide range of corporate and transactional matters, including mergers and acquisitions, entity formations, and reorganizations
  • Draft, review, and revise transaction documents, including purchase agreements, operating agreements, shareholder agreements, and commercial contracts
  • Conduct legal and due diligence reviews in connection with corporate transactions
  • Support financing transactions, including preparation and review of loan and related agreements
  • Collaborate with attorneys across practice groups, including tax and real estate, to support client matters requiring specialized expertise
  • Manage multiple assignments simultaneously while meeting deadlines in a fast-paced environment
  • Communicate effectively with clients, opposing counsel, and internal teams
  • Stay current on developments in corporate law and relevant industry trends
Requirements

EDUCATION AND EXPERIENCE

  • Juris Doctor (J.D.) from an accredited law school
  • Active membership in good standing with the California State Bar
  • 1–4 years of corporate and business transactions experience, including M&A, purchases and sales, capital markets, financing agreements, and complex commercial agreements
  • Exposure to transactional tax planning is a plus, but not required
  • Exposure to securities law is a plus, but not required
  • Demonstrated ability and drive to take responsibility for routine and increasingly complex matters with minimal supervision
  • Strong attention to detail and ability to manage multiple matters and deadlines in a fast-paced environment
  • Excellent interpersonal and communication skills, with a collaborative and client-focused approach
  • Ability to work independently while also functioning effectively as part of a team

Salary range: $160,000-$200,000 (based upon years of experience)
